Welcome to our Video Learning Center Website (the “Site”). These Terms of Service (the “Agreement”) govern your access and use of the Site, including any content, services, and features offered on or through the Site. By using the Site, you agree to be bound by this Agreement, as well as any additional terms and conditions that apply to specific areas of the Site. If you do not agree with any part of this Agreement, you must not access or use the Site.

Registration and Account Information To access certain features of the Site, you must create an account with us. You agree to provide accurate, complete, and up-to-date information during the registration process and to keep your account information current. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer and devices. You agree to accept responsibility for all activities that occur under your account or password. We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion.
Use of the Site You are granted a non-exclusive, non-transferable, revocable license to access and use the Site for personal and non-commercial purposes only. Prohibited Conduct You agree not to engage in any of the following activities while using the Site:

(b) Engage in conduct that is abusive, defamatory, harassing, harmful to minors, or otherwise objectionable;

(d) Attempt to gain unauthorized access to any portion of the Site, or any systems or networks connected to the Site, by hacking, password mining, or any other means;

(e) Interfere with the operation of the Site or any user’s enjoyment of the Site, including by transmitting any virus, worm, Trojan horse, or other harmful code;

(f) Modify, adapt, translate, or reverse engineer any portion of the Site, or use any automated system or software to extract data from the Site;

(g) Sell, rent, lease, sublicense, or transfer any portion of the Site, or access to the Site, to any third party;

(h) Use the Site to engage in any form of advertising or solicitation, including but not limited to the solicitation of users to become subscribers of other online services or to join other organizations;

(i) Violate any applicable laws or regulations, including but not limited to laws governing the transmission of technical data or software exported from the United States through the Site.

Disclaimer of Warranties The Site and all information, content, materials, products, and services included on or otherwise made available to you through the Site are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties implied by any course of performance or usage of trade. We do not warrant that the Site or any portion thereof, or any materials or products offered through the Site, will be uninterrupted, secure, or free of errors, viruses, or other harmful components.
Limitation of Liability In no event shall we, our affiliates, or our respective officers, directors, employees, agents, or licensors be liable for any direct, indirect, punitive, incidental, special, or consequential damages arising out of or in any way connected with the use of the Site or with the delay or inability to use the Site, or for any information, content, materials, products, or services obtained through the Site, or otherwise arising out of the use of the Site, whether based on contract, tort, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
Indemnification You agree to indemnify, defend, and hold harmless us, our affiliates, and our respective officers, directors, employees, agents, and licensors from and against any claims, actions, suits, or proceedings, as well as any and all losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Site, your breach of this Agreement, or your violation of any law or the rights of any third party.
Governing Law and Venue This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law provisions. Any legal action or proceeding relating to this Agreement or the Site shall be brought exclusively in a federal or state court of competent jurisdiction located in San Francisco County, California.
Changes to this Agreement We may revise and update this Agreement from time to time in our sole discretion. All changes are effective immediately upon posting on the Site. Your continued use of the Site following the posting of a revised Agreement means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.
Miscellaneous This Agreement constitutes the entire agreement between you and us with respect to the Site and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between you and us. If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder. No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement, and you do not have any authority of any kind to bind us in any respect whatsoever. The headings in this Agreement are for convenience only and have no legal or contractual effect.
